甲、乙双方本着共同发展、互惠互利的原则,根据《民法典》的有关规定。经双方充分协商,就乙方品牌化妆品的代加工事宜达成如下协议,共同信守。

一、合作形式

1、甲方按照乙方要求生产化妆品,乙方为此向甲方支付

相关费用。在本合同有效执行期间,甲方无权以任何形式销售、出售乙方委托加工的产品。

2、加工内容、规格、数量、价格、标的:

4、生产及销售文件的确认和使用:

4.2、乙方在甲方处生产的产品,外包装上必须注明甲方为生产商;并且由甲方所生产产品的最后包装工序必须在甲方处实施完成。

4.3、甲方按乙方要求,负责办理申请商品条形码,相关的费用由乙方负责。

5、在合作之前,甲方需向乙方提供《采购订单》中产品清单的样版(半成品),待确认后方可生产,化妆品质量按照双方确认样版进行生产。如有不符,乙方有权拒收货物。甲方保证乙方的产品稳定性及安全性,如因产品质量问题造成乙方损失的,甲方赔偿质量问题产品的成本损失(产品质量指在甲方生产的半成品)

6、甲方向乙方提供“三证”。由于化妆品的独有特性,甲方保证提供给乙方的产品完全与双方确认样板相同,但并不代表乙方的所有客户使用该产品而不发生不良反应。如果乙方客户在使用甲方所生产的某个产品后有超过5%顾客出现不良反映,乙方应立即告诫客户暂停使用该种产品,在得到甲方确认之后,可以对乙方未售出和退回的产品进行免费换货。但甲

方并不对乙方的客户提供连带赔偿责任及赔偿其他间接损失。使用方法不当或季节性及特殊地区多发过敏反应不在此列。

7.甲方提供的所有产品从封装之日起,有三年的保质期,在此日期之内,如果任何产品在按要求保存的情况下,未开封而出现变质、封口泄漏问题,甲方负责免费更换。

二、产品生产质量标准与检验

1、甲方对采购的所有原材料及包装材料质量负责。

2、甲方保证所代加工的产品质量完全符合国家所颁布的行业质量标准,同时符合在国家市级技术监督局通过和备案的企业生产标准。

3、乙方可以在现场对每批产品进行抽检,但甲方质检责任人必须同时在现场。

4、如因市场销售和行业监管需要委托xx市技术监督局或者xx市卫生监督所进行抽检的,甲方协助乙方办理,检验费用由乙方承担。

5、双方同意以xx市xx区技术监督局的产品检验报告为每批次产品质量的最终结论。

6、经双方判定,因甲方责任导致产品退货,甲方进行返工时,需经乙方签字确认后方可对包材再利用,因包材不可再利用所产生的包材损失由甲方承担。

7、乙方自行保管不当引致的产品质量问题,由乙方负责,与甲方无关。

三、生产物料损耗

1、在整个生产工艺流程中,甲方保证半制品和各种包装材料使用损耗控制在%以下;低值易耗品(如不干胶、封条等)损耗控制在%以下。超出以上指标部分,费用由甲方承担。

2、甲方在生产完毕该批产品后,必须将生产过程中所发生的报废物料完整地汇报给乙方。

四、费用组成和结算方式

1、甲方按乙方《采购订单》进行生产。相关的生产费用,乙方按当时的《采购订单》规定及时核对和支付产品加工的款项。在执行每批次的生产订单之前,乙方须按订单支付费用总额的%作为定金,发货前付清尾款%。

五、仓储

1、1、乙方如在广州设立有独立的仓库储存包装材料和成品,由乙方负责委派专人管理。

2、乙方负责将生产所需的所有包辅材料运至甲方仓库。甲方提供:在每批次生产过程中,甲方为乙方提供成品天、包装材料天为周期的免费仓储保管(遇节假日顺延)。

3、若超出免费仓储保管期,甲方按占地面积每平方米每月元的价格向乙方收取仓储费用。该费用需在乙方支付当期货款时一起支付给甲方。

六、交货期限、地点和方式

1、交货期限:甲方收到乙方定金(配套的物料备齐)后天内。

2、交货地点:甲方仓库

3、交货方式:甲方为乙方代办运输,相关费用由乙方负担。

六、甲方违约责任

1、合作期间甲方不得以任何形式销售、赠送给乙方以外的任何第三方所代加工的乙方化妆品,一经发现,甲方应将所有销售款项支付给乙方。

2、甲方未经乙方同意,不得更改产品的配方和检验标准,如擅自更改配方及检验标准,甲方将按照该品种更改后所有生产量的全额赔付;若乙方同意更改,则应当按质论价,重新核定。

七、乙方违约责任

1、乙方未经甲方同意,不得使用甲方“三证”及商品条

形码于非甲方生产的产品上,否则,由此而造成的任何损失均由乙方承担,甲方有权追究乙方一切法律责任。

2、乙方如中途变更产品或包装物数量、规格、质量的,

应提前天书面通知甲方,否则由此造成的损失由乙方全权承担。

3、乙方不得无故拒收甲方按照乙方定单加工的经国家行

业质量标准检验合格的产品,否则因此而造成的经济损失由乙方全额赔偿。

4、乙方超出规定本合同第四条约定,未向甲方支付相关

货款的,则每逾期一天,按未付款部分总额的%向甲方支付滞

纳金。

八、质量责任约定

1、甲方生产的产品在保质期内原包装未开封情况下变质,通过与留样对照,确认为产品配方和生产过程人为因素造成,则甲方无条件进行返工,直至合格并赔偿乙方的相关运输费用。

2、因乙方指定使用特殊添加成份,而引起产品内容物中

形成结晶或颜色变化或消费者使用投诉,由乙方自行承担责任。

3、甲方检验已判定产品所使用包装物、包装方式、文字

说明等为不合格品时,乙方坚持使用,须由乙方负责人签字认可,由此产生的一切质量问题,均与甲方无关。

九、其他未尽事宜约定

1、甲乙双方均应遵守国家有关化妆品质量、包装标示、

宣传管理等一切法规,一方违规,另一方均有权提出终止合作,并由违规方承担一切责任。

2、使用甲方“三证”的产品、包装,乙方应在包装印刷

之前让甲方进行审核、确认。

3、超出双方合作确认《采购订单》以外的产品,乙方使

用了甲方的证件,甲方将视为假冒产品,追究乙方法律责任及连带责任。

4、合作加工的乙方化妆品,在市场销售过程中出现一切

问题双方均应及时沟通,相互协商,根据已有的约定分清责任,在处理过程中双方应紧密协作。

5、经甲乙双方协商确认的交货时间,甲方必须满足。如

果不能满足,乙方有权另择加工厂,并追究甲方相应违约责任,并有权将印有甲方三证的包材量全部用完。经甲乙双方协商确认的结款方式,乙方必须遵守,如不能实现,甲方有权拒绝出货,并追究乙方相应违约责任。

十、本合同如有未尽事宜,双方协商解决。如协商不成,则将所争议事项提交甲方所在地仲裁委员会仲裁。

十一、其他未尽内容可协商增加《合同附件》,增加的《合同附件》与此《odm委托加工合同》享有同等法律效力。

2) the minister would put the tray in a miniature longting( dragonpavilion). beneath a yellow umbrella and carry it via wumen( meridian gate), totian’anmen gate tower.

3) a courtier would be invested to proclaim the edict. the civil andmilitary officials lining both sides of the gateway beneath the tower wouldprostrate themselves in the direction of the emperor in waiting for the decreeto the proclaimed.

4) the courtier would then put the edict in a phoenix-shaped wooden box andlower it from the tower by means of a silk cord. the document would finally becarried in a similar tray of cloud under a yellow umbrella to the ministry ofrites.

5) the edict, copied on yellow paper, would be made known to the wholecountry.

such a process was historically recorded as “ imperial edict issued bygolden phoenix”.

during the ming and qing dynasties tian’anmen was the most importantpassage. it was this gate that the emperor and his retinue would go through ontheir way to the altars for ritual and religious activities.

on the westside of tian’anmen stands zhongshanpark( dr. sun yat-sen’spark), and on the east side, the working people’s cultural palave. the park wasformerly called shejitan( altar of land and grain), built in 1420 for offeringsacrificial items to the god of land. it was opened to the public as a park in1914 and its name was changed in 1928 to the present one in memory of the greatpioneer of the chinese democratic revolution.

the stream in front of tian’anmen is called waijinshuihe( outer goldenriver),with seven marble bridges spanning over it . of these sevenbridges,historical records say the middle one was for the exclusive use of theemperor and was accordingly called yuluqiao( imperial bridge). the bridgesflanking it on either side were meant for the members of the royal family andwere therefore called wanggongqiao( royal’s bridges). farther away on each sideof the two were bridges for officials ranking above the third order and werenamed pinjiqiao( ministerial bridges). the remaining two bridges were for theuse by the retinue below the third order and wre called gongshengqiao( commonbridges). they anr the one in front of the supreme ancestral temple to the eastand the one in front of the altar of land and grain to the west.

the two stone lions by the gate of tian’anmen, one on each side were meantas sentries. they gaze toward the middle axis, guarding the emperor’s front of the gate stands a pair of marble columns called huabiao. they areelaborately cut in bas-relief following the pattern of a legendary the gate stands another pair of similar columns. the story of huabiao maybe traced to a couple of sources. one of the versions accredits its invention toone of the chinese sage kings named yao, who was said to have set up a woodenpillar in order to allow the ordinary people to expose evil-doers, hence it wasoriginally called a slander pillar. later it ws reduced to a signpost, and nowit serves as an ornament.

一、产品

乙方将定期向甲方提供销售培训和技术维护培训,也向甲方提供同类产品升级版本的相关培训,同时甲方也可免费参加其他培训课程。

六、技术支持

oem商可得到以下免费技术支持:免费得到乙方在线技术支持(包括电话,internet方式);

oem商可得到以下收费技术支持:乙方可向甲方提供800元每天现场收费支持(时间算法为:技术支持人员从公司领单出门至甲方现场技术支持结束并签字认可为止,同时oem可享受该收费标准的8折优惠);最终客户相关的技术支持应由甲方承担,若遇有重大技术问题,乙方也可派技术人员进行现场支持,收费标准同上。

七、权利和义务

(1)若甲乙双方因为某些原因终止合作关系时,甲方负责完成其在终止日前发生的订购合同。乙方负责继续提供技术支持和售后服务给甲方产品的最终用户。

(2)乙方不承担由于甲方实施系统(1.设备故障2.系统不兼容3.病毒4.系统内部错误)问题引起的任何第三方损失

(3)乙方应向甲方提供有力的技术支持和销售支持(如:安装培训,技术支持培训,产品手册,媒体广告,网站宣传等)。

(4)乙方不承担任何由于自然灾害,战争,政府行为,罢工等不可抗力所引起的损失。

八、争议解决条款

本协议在履行中如发生争议,双方应协商解决;协商不成时,任何一方均可在相关部门申请调解和仲裁。
