根据《中华人民共和国合同法》、《二手车流通管理办法》和《二手车交易规范》等有关法律法规和规章的规定，买卖双方经友好协商，在平等、自愿、协商一致的基础上就二手车

第二条 车辆价款、过户手续费及支付时间、方式

1、车辆价款及过户手续费

买方应于交易车辆过户、转籍手续办理完成的当日，向卖方支付交易车辆的价款 元。(采用分期付款方式的可另行约定)过户手续费由 方承担。 方应于本合同签订之日起 个工作日内，将过户手续费支付给双方约定的过户手续办理方。

第三条 定金

买方交付定金后，不履行合同约定义务导致交易不成的，无权要求返还定金;卖方收受定金后，不履行合同约定义务导致交易不成的，应当双倍返还定金。

第四条 车辆的过户、交付及风险负担

1、双方可以选择下列第 种方式办理车辆的过户手续：

(1)由卖方办理过户手续的，买方应于本合同签订之日起 个工作日内，将办理本车过户、转籍手续所需的一切有关证件、资料的原件及复印件交给卖方。

(2)由买方办理过户手续的，卖方应于本合同签订之日起 个工作日内，将办理本车过户、转籍手续所需的一切有关证件、资料的原件及复印件交给买方。

(3)双方委托第三方办理的，买卖双方应于本合同签订之日起 个工作日内，将办理本车过户、转籍手续所需的一切有关证件、资料的原件及复印件交给该第三方。

2、卖方应于交易车辆过户、转籍手续办理完成的当日向买方交付车辆及相关凭证。如是由第三方代为办理车辆过户手续的，该第三方应于交易车辆过户、转籍手续办理完成的当日向买方交付相关凭证。

3、车辆毁损、灭失的风险，在车辆登记过户给买方之前，由卖方承担;在辆登记过户给买方之后，由买方承担。

本条所指风险负担是指交易的二手车辆因不可归责于买卖双方当事人的事由，发生毁损灭失的损失应由哪一方负担。

4、车辆发生交通事故、交通违章等造成的经济损失以及产生的车辆维修费用自买方提车之时起，由买方承担。但是提车之前产生的交通事故、交通违章等造成的经济损失以及产生的车辆维修费用由卖方承担。

第五条 买卖双方的权利和义务

1、买方应当按照约定支付价款，卖方应当按照约定向买方交付车辆及相关凭证。 2、卖方应当保证合法享有车辆的所有权或处臵权，同时卖方还应当保证其向买方出示及提供的与车辆有关的一切证件、证明及信息合法、真实、有效。

3、卖方应向买方充分披露车辆的质量状况，对于车辆出现的质量瑕疵不得隐瞒。卖方属二手车经销企业的，应向买方提供质量保证及售后服务承诺，并提供售后服务清单，不得擅自增加未经买方同意的服务项目。

4、卖方属二手车经销企业的，在将二手车销售给买方之前必须对车辆进行检测和整备，使车辆能够达到安全使用要求。

5、卖方属二手车经销企业的，如果车辆使用年限在3年以内或行驶里程在6万公里以内的车辆(以先到者为准，营运车除外)，应向用户提供不少于3个月或5000公里(以先到者为准)的质量保证。质量保证范围为发动机系统、转向系统、传动系统、制动系统、悬挂系统等。

第六条 合同的解除

有下列情形之一的，当事人可以解除合同：

1、当事人就解除合同协商一致; 2、因不可抗力致使合同目的无法实现;

3、在合同履行之前，买卖当事人一方明确表示或者以自己的行为表明不履行主要义务; 4、买卖当事人一方迟延履行主要义务，经催告后在合理期限内仍未履行; 5、买卖当事人一方迟延履行主要义务或有其他违约行为致使不能实现合同目的。 合同解除不影响当事人要求赔偿损失的权利。

第七条 违约责任

1、卖方向买方提供的车辆如果存在权利瑕疵或者影响安全使用的质量瑕疵，买方有权要求解除合同，并有权要求卖方赔偿因此而造成的损失。

2、卖方未按合同的约定将本车及其相关凭证交付买方的，逾期每日按本车价款总额的 %向买方支付违约金。

3、买方未按照合同约定支付本车价款的，逾期每日按本车价款总额 %向卖方支付违约金。

4、因卖方原因致使车辆不能办理过户、转籍手续的，买方有权要求解除合同，并有权要求卖方赔偿因此而造成的损失。

第八条 合同争议的解决方式

13.装运条款：

15.质量保证：

quality guarantee :

货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港_____个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。

16.商品检验：卖方须在装运前_____日委托检验机构对合同之货物进行检验并出具检验证书，货到目的港后，由买方委托____检验机构进行复检。

17.索赔

claims:

如经中国_____检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。

18.延期交货违约金

late delivery and penalty

除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。

if the sellers fail to make delivery on time as stipulated in the contract , with exception of force majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty , however , shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days , if less that seven days. in case , the payment is not made through l/c , the sellers shall pay the penalty counted as above to the buyers as soon as possible.

19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及

时通知买方。

force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.

20.争议之解决方式：

disputes settlement :

□任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。

21.法律适用

law application :

本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。
